Netflix Ads API Terms

These Netflix Ads API Terms (“Ads API Terms”) govern the access to, and use of, the Netflix Ads API and related software, databases, and other materials (collectively, the “Ads API”), including any developer documentation and related requirements (“Documentation”), provided by Netflix, Inc. and/or its affiliates (“Netflix”, “we”, “us”, or “our”) and incorporate by reference the Netflix Ad Policies & Supplemental Terms (“Policies”), the Netflix Advertising Product Terms, and the Netflix Direct Media Buys Terms or the applicable media buy terms between you and us. These Ads API Terms will control to the extent of any conflict. The terms “you” and “your” mean the individual or entity acting as an advertiser as principal (“Advertiser”), or a third party acting as an agent on behalf of an Advertiser (“Agency”).

  1. Access and Use

    1. Campaign Management. The Ads API permits you to integrate your advertising data and analytics applications, including APIs (“Developer Application”), subject to our review and approval, with the Ads API in order to receive the services set forth in these Ads API Terms and in accordance with the Documentation. You agree to collaborate with us as reasonably necessary to ensure functional integration with the Ads API and conformance with the Documentation. You acknowledge that we are not responsible for any support, development, troubleshooting, or integration services related to the Ads API or your Developer Application. You agree to use the Ads API solely to facilitate the intake of Your Data (defined below) from the Developer Application and receipt of information about your ad campaigns and other information provided by the Ads API (collectively, “Reporting”) in conformance with the Documentation or as expressly set forth in these Ads API Terms and for no other purpose. If you are an Agency, you will not share Reporting or other data related to an Advertiser with another Advertiser or third party without our written consent. If you access or use the Ads API in connection with other products or services we provide, you additionally agree to the terms applicable to those products and/or services. 

    2. License and Limitations. Subject to your compliance with these Ads API Terms and Documentation, we grant you a non-exclusive, non-sublicensable, non-transferable, revocable license during the Term to use and access the Ads API and to permit your authorized employees and agents (“Authorized Users”) to use and access the Ads API solely as permitted in these Ads API Terms or Documentation. We may provide access credentials in connection with your use of the Ads API or certain features of the Ads API and you agree that you will only access the Ads API through access controls we make available. Each registration is for a single Authorized User only and may expire if not extended. You are fully liable for your and your Authorized Users’ use of and access to the Ads API, and for compliance with these Ads API Terms and Documentation by your Authorized Users. You agree to treat your access credentials as confidential, and to maintain and promptly update your account information to ensure that such information is complete, true, accurate, and up to date. We reserve the right to update registration requirements, make and enforce limitations (such as rate limiting), and to suspend, terminate, or otherwise discontinue your and your Authorized Users’ accounts and/or registrations. We may engage subcontractors to perform our obligations.

    3. Updates. We may, at our discretion, change, add, or remove features from the Ads API (collectively, “Updates”) which become a part of the Ads API and are subject to these Ads API Terms. You acknowledge that we may require you to obtain and use the most recent version of the Ads API and that any material limitations or restrictions on your use of the Ads API will remain in effect as specified and may only be modified or removed by us. 

    4. Fees. There are currently no fees for use of or access to the Ads API. We reserve the right to charge fees for use of or access to the Ads API in our sole discretion. In such an event, we will notify you as set forth in Section 9 (Modification) below.

    5. Feedback. You agree to provide regular feedback, suggestions, and comments and report any issues or problems (collectively, “Feedback”) to us, and that we may use your Feedback worldwide and in perpetuity for any purpose without further acknowledgement, restriction, or compensation to you.

  2. Data 

    1. Netflix Data. Netflix Data” includes any data, information, databases, models, documentation, software, source code, object code, algorithms, usage data, and other materials (a) owned by or licensed by us, and/or (b) generated, collected, compiled, obtained or otherwise made accessible by us or our agents in connection with these Ads API Terms (collectively, “Netflix Data”). We, in our discretion, may make certain Netflix Data and Reporting available to you, and subject to your compliance with these API Terms and Documentation, we grant you the non-exclusive, non-transferable, non-sublicensable, revocable license during the Term to use the Netflix Data and Reporting solely for internal, non-public evaluation, campaign management, and optimization of advertising campaigns on Netflix properties.

    2. Your Data. Your Data” means any pre-existing data, information, or other materials provided to us by you under these Ads API Terms. You grant to us and our affiliates a non-exclusive license to use, access, store, transmit, and process Your Data in connection with these Ads API Terms. Except as expressly permitted in the Netflix Advertising Product Terms, you represent and warrant that Your Data will not include any “personal data” or “personal information,” each as defined by applicable privacy laws, and agree to promptly notify us if you inadvertently send such data. You agree that Your Data will be up to date and accurate, and will include the information as set forth in the Documentation or reasonably requested by Netflix. Subject to the Netflix Advertising Product Terms, you agree that we may use Your Data: (i) to provide services to you and your Advertiser(s), including any Reporting; (ii) to comply with applicable laws or regulations; (iii) for fraud, safety, or security purposes; (iv) as set forth in these Ads API Terms or Documentation; and (v) on an aggregated basis to improve ads delivery and relevance, benchmarking, and otherwise improve our products and services. If you are an Agency, you agree that we may share information related to your use of the Ads API on behalf of an Advertiser with that Advertiser. 

    3. Retention. You agree that you will delete, cause to delete, or otherwise render permanently inaccessible all Netflix Data no later than thirty (30) days from the earlier of (i) your initial receipt of such Netflix Data, or (ii) our written request. You will create, implement, and maintain mechanisms within your Developer Application to ensure compliance with data retention requirements set forth in these Ads API Terms and Documentation. You agree to certify deletion in writing to us if requested. We will retain Your Data in accordance with applicable laws and our then-existing data retention policies. If you receive any Netflix Data or Reporting in error, you agree to promptly delete such data and provide proof of such deletion, and upon request you agree to update any Netflix Data and/or Reporting.

  3. Ownership and Restrictions 

    1. Ownership. As between the parties, we are the sole and exclusive owner of the Ads API, Netflix Data, all related content and Documentation, and any Updates, versions, modification, or derivative works, including without limitation all intellectual property and other proprietary rights, and the Netflix marks (e.g., logos, service marks, and trademarks) (collectively, “Netflix Property”), and you are the sole owner of the Developer Application and Your Data (“Your Property”). Nothing in these Ads API Terms transfers any ownership interest in or to the Netflix Property or Your Property to any other party except as expressly set forth in these Ads API Terms. 

    2. Restrictions. You agree not to, and will not allow any third party to, or attempt to, directly or indirectly: (i) make the Ads API, Reporting, or Netflix Data available to any third party unless expressly permitted in these Ads API Terms or with our prior written consent; (ii) use, reference, or rely on the Netflix Property to create any service, product, software or documentation that performs substantially the same functionality as the Ads API; (iii) disassemble, decompile, reverse-engineer or use any other means to discover or attempt to discover any source code, underlying ideas, algorithms, structure, or trade secrets underlying the Ads API, any of its components, or extract or analyze Netflix Property in a manner not expressly set forth in these Ads API Terms; (iv) encumber, sublicense, transfer, distribute, rent, lease, or use the Netflix Property for the benefit of any third party except as expressly set forth in these Ads API Terms; (v) adapt, combine, create derivative works of or otherwise modify the Netflix Property, whether aggregated, anonymized, or otherwise; (vi) disable, circumvent, or otherwise avoid or undermine any security device, mechanism, protocol, or procedure implemented in the Ads API; (vii) use or access the Netflix Property for any unlawful, fraudulent, deceptive, malicious, or otherwise harmful or injurious purpose or in violation of the Policies (including the Usage Policy) or applicable laws or regulations; (viii) use the Netflix Property in any manner or for any purpose that violates the rights of any third party, including but not limited to intellectual property rights, privacy, or other proprietary right(s); (ix) remove, obscure, deface, or alter any proprietary rights notices on any element of the Ads API, Netflix Data, or Documentation; (x) decompile, reverse engineer, match, index, correlate, or otherwise associate any Netflix Data to any other data that could be used (A) to associate, recognize, identify, locate or contact a person, (B) to identify any audio, video or audiovisual materials requested or obtained from us (“Video Materials”), or (C) for any other purpose not expressly set forth in these Ads API Terms; or (xi) match, index or correlate Netflix Data to any data you could use to identify Video Materials, an actual watch event, or request to watch Video Materials of our end users. 

    3. Cooperation. You agree that we may monitor your use of the Ads API, and upon reasonable advance notice you agree that: (i) we may audit your use of the Ads API for compliance in relation to these Ads API Terms; (ii) you will reasonably cooperate with us, including by providing access to the Developer Application and information related to your use of the Ads API; and (iii) you will promptly remediate any non-compliance to our reasonable satisfaction. If we determine as a result of an audit that you or any third party engaged by you are not in compliance, you agree to pay reasonable costs associated with the audit. 

    4. Publicity. You agree not to use our name, logo, or other trademarks, including in any press release or other promotional material, without first obtaining our written consent. You agree not to market or commercialize your use of or access to the Ads API to any third party (including prospective clients) without our prior written consent in each instance. 

  4. Confidentiality. Each party acknowledges that the other party may have access to certain non-public confidential information of the other, including information that is designated or marked confidential, or information that should reasonably be known to be confidential due to the nature of the information (“Confidential Information”). Except as expressly set forth in these Ads API Terms, each party agrees to protect the Confidential Information of the other party using the same degree of care its uses for its own Confidential Information and in no event less than a reasonable standard of care, and not to disclose any Confidential Information of the other party to any third party except to its own affiliates, agents, or contractors that have a need to know and are bound by confidentiality terms no less restrictive than those in these Ads API Terms, or to the extent required by valid court order or applicable law. Confidential Information does not include information that: (a) was rightfully known prior to receipt by the receiving party and without restriction; (b) was or becomes generally known by the public through no fault of the receiving party; (c) is rightfully received by the receiving party from a third party which is not under obligation of confidentiality; or (d) is independently developed by the receiving party without reference to the Confidential Information. 

  5. Representations and Warranties. 

    1. Each party represents and warrants that: (i) it has the full right, power and authority to enter into these Ads API Terms and perform its obligations hereunder; and (ii) it will comply with all applicable laws, rules, and regulations in its performance under these Ads API Terms. You additionally represent and warrant that: (i) Your Property will be in material conformance with these Ads API Terms and the Documentation; (ii) you possess all necessary rights, licenses, and permissions to provide Your Property; (iii) Your Property does not infringe, misappropriate, or otherwise violate the personal, proprietary, intellectual property or other rights of any third party; (iv) the information you submit to us in connection with registration to use the Ads API, as well as Your Data, is complete, true, accurate, and current in all respects; and (v) Your Property is provided free and clear of any virus, malware, worm, Trojan horse, disabling device, or any other harmful or malicious script, code, or tool. If you are an Agency, you represent and warrant that you have the authority as Advertiser’s agent to bind Advertiser to these Ads API Terms and that your actions related to these Ads API Terms will be within the scope of your agency. 

    2. WE DO NOT REPRESENT OR WARRANT THAT THE ADS API WILL OPERATE ERROR-FREE OR ON AN UNINTERRUPTED BASIS. YOU ACKNOWLEDGE AND AGREE THAT THE ADS API IS AND MAY REMAIN A BETA PRODUCT AND WE DO NOT GUARANTEE THAT THE ADS API WILL BE RELEASED AS A FINAL PRODUCT. THE ADS API AND DOCUMENTATION ARE PROVIDED TO YOU “AS IS” AND “AS AVAILABLE,” AND TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, WE HEREBY DISCLAIM ANY AND ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE. WITHOUT LIMITING THE FOREGOING, YOU ACKNOWLEDGE THAT WE MAKE NO REPRESENTATION, WARRANTY, OR GUARANTEE WHATSOEVER REGARDING THE QUALITY, ACCURACY, EFFECTIVENESS, LEGALITY, RELIABILITY, OR TIMELINESS OF ANY SERVICES, CONTENT, OR INFORMATION, OR ANY RESULTS OBTAINED OR MADE AVAILABLE IN CONNECTION WITH THESE ADS API TERMS. YOU AGREE THAT YOUR USE OF AND ACCESS TO THE ADS API AND DOCUMENTATION IS ENTIRELY AT YOUR OWN RISK, AND THAT YOU ARE SOLELY LIABLE AND RESPONSIBLE FOR THE RESULTS OF SUCH USE AND ACCESS. 

  6. Term and Termination. These Ads API Terms are effective as of the Effective Date and will continue until terminated as expressly set forth in these Ads API Terms (the “Term”). You may terminate your use of the Ads API upon written notice to us. We may terminate these Ads API Terms at any time, with or without cause, and without advance notice. Upon termination or expiration, (a) all licenses granted to you will immediately cease, (b) you agree that you and any Authorized Users will immediately discontinue any use of the Ads API, (c) you will delete any Netflix Data in your possession or control, including any cached or stored Netflix Data and any data or models derived from the Netflix Data, and (d) on our request, you agree to confirm such deletion in writing. Any provision(s) of these Ads API Terms which expressly by their terms, or should by their nature, survive, will survive termination or expiration, including for the avoidance of doubt, Sections 1(d)&(e), and 7-10. 

  7. Indemnification. You agree to indemnify, defend, and hold harmless us, our subsidiaries, parents, and affiliates, and each of their respective affiliates, directors, officers, employees, and agents  (the “Netflix Parties”) from damages, liabilities, costs, and expenses (including reasonable attorney’s fees) resulting from or related to any third party claim, judgment, or proceeding (“Claims”) arising out of: (a) your negligence or willful misconduct; or (b) breach of your representations, warranties, and/or obligations under these Ads API Terms. We will use commercially reasonable efforts to notify you of any Claims in a timely manner, provided that failure or delay in providing notice will not relieve you of your obligations except to the extent you are materially prejudiced by such failure or delay. We will provide reasonable cooperation at your expense in connection with the defense or settlement of any Claims, and we may elect to participate in the defense and settlement of any Claims at our expense. You will not agree to any judgment or enter into any settlement which imposes any obligation or liability on us without our prior written consent.

  8. Limitation of Liability. In no event will any of the Netflix Parties be liable (whether in contract, negligence, statutory liability or otherwise), for any loss or inaccuracy of data, loss or interruption of use, or cost of procuring substitute technology, goods, or services, or any indirect, punitive, incidental, reliance, special, exemplary, or consequential damages, including without limitation damages for loss of business, revenues, profits and/or goodwill, even if such damages were reasonably foreseeable or if you were advised of the possibility of such damages. In no event will any of the Netflix Parties’ maximum aggregate liability under these Ads API Terms exceed the greater of: (a) the total amounts paid by you to us pursuant to these Ads API Terms in the three (3) months preceding the date from which the claim arose; or (b) one hundred U.S. dollars ($100). The limitations of liability set forth in this section will apply to the maximum extent permitted under applicable law. 

  9. Modification. We may modify these Ads API Terms or the Documentation from time to time by posting or otherwise making an updated copy available. Modifications will become effective as of the last updated date set forth and your continued use of the Ads API constitutes your acceptance of such updates.

  10. Miscellaneous. Notice to us must be sent in writing to 121 Albright Way, Los Gatos, CA 95032, Attn: Legal Notices, with a copy to: legal@netflix.com. You agree to accept notice via the email address associated with your login credentials. The parties are independent contractors, and nothing in these Ads API Terms creates any partnership, joint venture, employment relationship, or agency relationship with us. Except as expressly stated, these Ads API Terms do not confer any rights on any third party. Neither party will be liable for any failure or delay in performing its obligations if such failure or delay is due to causes beyond its reasonable control. You may not assign any of your rights or obligations, in whole or in part, to any third party without our prior written consent and any attempted assignment otherwise will be void. We may assign our rights or obligations under these Ads API Terms. These Ads API Terms constitute the entire agreement of the parties with respect to the Ads API and supersede all previous communications, understandings, and agreements between the parties related to the Ads API. Failure or delay of either party to exercise any of its rights or remedies will not operate as a waiver of any right. These Ads API Terms will be governed by the laws of the State of New York, without reference to its principles of conflict of laws. Any claim, suit, action, or other legal proceeding under these Ads API Terms will be in the state and federal courts in New York, NY, and the parties consent to the exclusive jurisdiction of such courts. If any provision of these Ads API Terms is rendered void or unenforceable by court order or other operation of applicable law, such provision will be given effect to the greatest extent possible, and the remainder will continue unchanged in full force and effect.
